PROSPECTIVE INVESTOR REGISTRATION

Explore company investments, individual deals and pooled funds.

Tell us which opportunities interest you and your indicative amount, from under $1,000 to $1 million or more. These are research preferences, not available investments or minimum subscriptions. Registration does not establish eligibility.

King & Co. is considering potential exempt securities offerings and has not determined a specific exemption for these preliminary inquiries. No money or other consideration is being solicited; any sent in response will not be accepted. No offer to buy can be accepted and no purchase price received until the applicable exemption and any filing, disclosure or qualification requirements are satisfied. Indications of interest involve no obligation or commitment.

ACCESS ROUTER

One fund site. Three completely different doors.

Investor communications, deal submissions and professional/service-provider conversations should never share the same workflow.
INVESTOR LANE

Eligibility before offering materials.

Collect role, jurisdiction and eligibility indicators first. If an offering is active, access to materials should follow the selected exemption, offering documents, verification requirements and investor-onboarding controls.

FUND ARCHITECTURE

Raise capital through a lane the law actually recognizes.

A private fund does not become “public” because the website looks public. The fund, adviser, offering exemption, investor eligibility, state filings and marketing method all have to line up.
506(b)No federal dollar cap

Relationship-driven private placement

Generally prohibits general solicitation. Can include unlimited accredited investors and a limited number of sophisticated non-accredited investors, subject to the rule and disclosure obligations.

Use when fundraising is private and relationship-based.
506(c)No federal dollar cap

Verified-accredited public marketing

Allows broad solicitation if every purchaser is accredited and the issuer takes reasonable steps to verify accredited status. Form D and state notice filings still matter.

Use when the strategy needs public visibility and accredited-only buyers.
3(c)(1)Up to 100 beneficial owners in the standard structure

Private-fund exclusion

A common Investment Company Act exclusion for a privately offered pooled vehicle. Investor-count and other technical rules require counsel-level structuring.

Often paired with a Regulation D offering.
3(c)(7)Qualified purchasers only

Qualified-purchaser fund

A private-fund exclusion designed for qualified purchasers and subject to its own technical requirements. Common in larger or more institutional private funds.

Often used when the investor base is more institutional.
Adviser analysis is separate.

The fund’s securities exemption does not automatically exempt its adviser. Investment-adviser registration or an exemption/reporting status must be analyzed separately at the federal and state level.

POTENTIAL FUND SCALES

Design the operating system before choosing the number.

Rule 506 itself does not impose a federal dollar cap, but strategy, investor profile, team, track record, administration, audit, custody considerations, deployment capacity and economics determine what size is operationally credible.
